According to the National Association of Publicly Traded Partnerships (NAPTP), there are seven publicly traded partnerships engaged in marine transportation. Given the tax advantages of organizing as an MLP, why might a partnership choose to be taxed as a C corporation?
An MLP is required to satisfy the ��ualifying income test,��which generally requires that 90 percent of gross income be derived from natural resource activities. A decision to be treated as a corporation for US federal income tax purposes eliminates the ��ualifying income test,��so that an offshore partnership taxed as a corporation could have assets that would not ordinarily meet the applicable US tax rules for an MLP.

The largest U.S. rail transportation company should be able to reap benefits from a rising U.S. economy. In 2012, the company's overall volume was flat due to weakness in coal and agricultural shipments (as a result of drought conditions across the western United States), which offset strength in other segments such as automobile, chemical, and oil shipments.However, Union Pacific managed to increase revenue by 7%, to $20.9 billion, through stronger pricing and fuel surcharges. Not surprisingly, Union Pacific (NYSE: UNP ) , one of largest rail companies in the U.S., tripled the amount of crude oil it shipped last year, while Berkshire Hathaway's (NYSE: BRK-B ) Burlington Northern Santa Fe, or BNSF, another rail giant, is currently moving about 650,000 barrels of crude oil per day, up from next to nothing just five years ago. And Canadian Pacific Railway (NYSE: CP ) expects to ship some 70,000 carloads of crude this year, up from just 500 in 2009.

Perhaps more importantly, CSX and its peers have also benefited from the huge demand in moving petroleum and other energy products from new unconventional shale plays. Union Pacific (NYSE: UNP ) has been a pioneer in this regard, with plans to spend a quarter-billion dollars on tank cars and other assets to help it move crude out of underserved areas without pipeline coverage, most notably the Bakken in North Dakota. With major refinery companies like Phillips 66 willing to enter into long-term arrangements with producers in the Bakken and other mid-continent plays in order to secure cheaper oil than it can get from international sources on the East Coast, there's plenty of opportunity for CSX to get its share of this growing market. An appropriate reaction?
The market's reaction to railroad companies hasn't been favorable. Canadian National Railway (NYSE: CNI ) (NYSE: CNI ) traded down today by 0.6%, while Union Pacific (NYSE: UNP ) (NYSE: UNP ) lost more than 0.7% of its market value. Clearly, the markets took Saturday's accident seriously. However, with so much crude oil ready for cross-country trips, railroad companies are unlikely to be affected in the grander scheme of things, at least in the near term.

More than 20% of total rail carloads stem from the coal industry. Because of this reliance on coal shipments, CSX (NYSE: CSX ) and Norfolk Southern (NYSE: NSC ) each saw revenues from coal shipments drop by double digits in the first quarter of 2013 versus the same quarter last year. This also can't be great news for Warren Buffett's Berkshire Hathaway (NYSE: BRK-A ) , as it owns BNSF railroads, which holds a 33% market share in coal shipments by rail, according to 2012 data.

Drybulk Operations
The Company manages the deployment of its drybulk fleet between long-term and short-term time charters. A time charter is a contract to charter a vessel for a fixed period of time at a specified or floating daily or index-based daily rate and can last from a few days to several years. A spot charter refers to a voyage charter or a trip charter or a short-term time charter. Under a bareboat charter, the vessel is chartered for a stipulated period of time, which gives the charterer possession and control of the vessel, including the right to appoint the master and the crew.
Offshore Drilling Operations
In January 2012, following the completion of the contract with Tullow Oil plc (Tullow Oil) contract, discussed below, the Eirik Raude commenced a contract with Anadarko Cote d��voire Company (Anadarko) for the drilling of two wells offshore West ! Africa. I! ts offshore drilling operations consist of the Ocean Rig Corcovado, the Ocean Rig Olympia, the Ocean Rig Poseidon and the Ocean Rig Mykonos. As of December 31, 2011, the Ocean Rig Corcovado was employed under a three-year contract, plus a mobilization period, with Petroleo Brasileiro S.A. (Petrobras Brazil) for drilling operations offshore Brazil. The Ocean Rig Olympia is operating under contracts to drill a total of five wells for exploration drilling offshore Ghana and the Ivory Coast. The Ocean Rig Poseidon commenced a contract with Petrobras Tanzania, a company related to Petrobras Oil & Gas B.V. (Petrobras Oil & Gas).
The Ocean Rig Mykonos commenced a three-year contract, plus a mobilization period, with Petrobras Brazil, on September 30, 2011, for drilling operations offshore Brazil. DryShips�� wholly owned subsidiary, Ocean Rig AS, provides supervisory management services, including onshore management, to its operating drilling rigs and drillships. DryShips also has contracts to provide offshore drilling services and drilling units.
Tanker Operations
The Company employs its Aframax tankers Saga, Daytona, Belmar and Calida, in the Sigma tanker pool, which consists of 46 Aframax tankers, with fourteen different pool partners.
