The Financial Industry Regulatory Authority is warning broker-dealers not to stretch the truth when marketing “free” individual retirement accounts to investors.

In the just-released Regulatory Notice 13-23, FINRA says that some brokers are using “overly broad language” in sales materials, implying that there are no fees charged to investors who have accounts with the firms. In other instances, FINRA says that “specific fees that are not charged are highlighted and separated from disclosure regarding other fees that may be charged,” which may “mislead investors” regarding the cost of opening, maintaining or closing an account.

Broker-dealers’ marketing campaigns “often emphasize that fees are not charged in connection with their retail brokerage accounts and IRAs,” FINRA states.

However, FINRA states that because closing and maintaining accounts typically involve some cost to investors, either associated with the account itself, the underlying investments or the services of the broker-dealer, “it would generally be inconsistent with FINRA Rule 2210’s requirements to claim or imply that accounts are ‘free.’”

Faced with reticent shoppers worried about their job prospects and modest economic growth, retailers offered more discounts during the holiday season than a year earlier. Between Nov. 3 and Jan. 4, eight retailers, including Walmart Stores (WMT), Target (T) and Macy's (M) , increased the number of circulars published by 6 percent and sent 57 percent more promotional emails, according to data prepared for Reuters by MarketTrack. Raytheon scored the big win of the day -- a monster $279 million deal to develop a new electronic warfare product for the Navy. But it wasn't the day's only winner:

Analysts expect $8.34 in EPS for the next fiscal year, and the current stock price is only 9 times that figure, compared to a peer average of 17 times, suggesting L-3 Communications is significantly undervalued.

    Impressively, it has similar margins on both EBITDA and operating cash flow in the low double-digits, and its enterprise value implied by the current stock price is only 6.6 times trailing EBITDA. With a free cash flow margin of around 10%, the company should be able to further increase its cash reserve by $14.25 per share next year. **

    Also, the company recently raised its quarterly dividend by 10% and authorized the repurchase of as much as $1.5 billion of its stock in a bid to boost shareholder returns. It's no wonder the share count has fallen from 122 million in fiscal 2008 to 94 million at the end of 2012, and considering the management's plans on buybacks, this trend should continue.

    Long-term sales growth is where the estimates get tricky. The company faces revenue declines from the winding down of operations in Iraq and Afghanistan, and defense spending cuts due to the rising focus on deficit reduction.

    Nevertheless, I expect a steady improvement in free cash flow generation. All told, I think L-3 Communications can grow its free cash flow at a 2-4% rate for the long-term. Discounting that back, it suggests a fair value of about $95.

    Still, what this leaves us with here is a stock costing perhaps 12.5 times what it might earn this year -- a higher valuation than rivals L-3 Communications (NYSE: LLL  ) or Lockheed Martin (NYSE: LMT  ) fetch, even if a discount to General Dynamics. Meanwhile, Textron's free cash flow projection suggests that the quality of its earnings (perhaps $540 million in total, judging from the guidance) may not be even as good as those of its cheaper rivals.
